Bambu Lab Why I Print Program Agreement
1. About Us
The Bambu Lab Why I Print program (hereinafter referred to as this "Program") is an activity program operated by Shenzhen Tuozhu Technology Co., Ltd and its relevant affiliates (hereinafter referred to as "Bambu Lab", "we", "us", or "our") on the service platform (https://bambulab.com/whyiprint, hereinafter referred to as "Website") that provides you with services to allow you to upload photos, videos texts or materials to Website and take part in contests with 3D printing users around the world (hereinafter referred to as the "Services"). In this Agreement (as defined below), "you" and "user" refer to any individual that uses and/or accesses the Services.
2. Purpose of this Agreement
In order to maintain the principles of fairness, impartiality, and openness, and to select the submissions meet the criteria around the world, the following terms and conditions have been established and implemented for the Program. This Program Agreement and other policies, including but not limited to community guidelines , any policies being listed on https://bambulab.com/policies/terms , and information published or made available through the Services (collectively, this "Agreement") are the terms and conditions applicable to you with regard to your use of, and access to, the Services. This Agreement tells you how we will provide the Services to you, what activities are permitted or not permitted, by or in connection with the Services, what to do if there is a service issue, and other important information. Please carefully read and fully understand this Agreement, especially any clauses about exclusion or limitation of liability and those about governing laws and dispute resolution. In particular, clauses about exclusion or limitation of liability and other important terms will be written in bold to draw your attention and you are supposed to read them with particular care. By accessing or using the Services, you are entering into a binding legal agreement with us and are agreeing to this Agreement. If you do not accept this Agreement, you must not access or use the Services.
3. Eligibility
3.1 You must reach 18 years old or the legal age of majority in your jurisdiction to participate in the Program. If you are under 18 years old or have not reached the legal age of majority in your region, you need the consent of your parents or legal guardian before participating in the Program.
3.2 Your submissions must be original or fully authorized by the right owner and not have been authorized for commercial use to any organization or individual, whether paid or unpaid.
3.3 You will be disqualified for participation in any of the following situations:
Your submission is judged by the review panel to be plagiarized.
You are found to be ineligible for participation at the time of judging.
Provide false information or violate relevant laws and regulations.
Infringe any legal rights of third parties, including but not limited to intellectual property rights, rights of publicity or privacy, any duties of confidentiality, reputation rights and personality rights.
Submit any entry or engage in any conduct in the Program that is false, defamatory, infringing, harmful, pornographic, offensive, bullying, harassing, scandalous, hateful, inflammatory, threatening, profane, obscene, invasive of privacy, or otherwise objectionable, including but not limited to promoting illegal activity, having explicit sexual depictions, promoting violence, and any content and conduct that is discriminatory, illegal, causes or is likely to cause damage or injury to personal property, or may give rise to civil, criminal or other violations under applicable laws.
4. Our Services
This Agreement applies to your use of the Services. Through the Services, you can access the Website, Program information, browse the winning works, view collections of works of the participants, sign up for the contest, and upload the works. To use our Services, you need to use compatible Bambu Lab hardware and software (the latest versions will be recommended or required in some cases) and be able to access the Internet (charges may apply). These factors may affect the performance of our services.
4.1 Browsing works
On this Website or other social media, we may display the personal information and submissions of the authors with their consent, and display winning works and the winners' information as required for the contest. You may view these works and the winning information on this Website or other social media.
4.2 Obtain contest information
We may post information about various contests held by Bambu Lab on this Website. You can visit this Website to obtain the contest information.
4.3 Registration/Login
We need to use your Bambu Lab Account to verify your identity when you sign up for the Program.
Your Bambu Lab Account data is managed and controlled by the legal entities we entrust for your jurisdiction to verify your identity and determine your service country/region in accordance with agreements we sign with them. You can use your Bambu Lab Account to set up your account on this Website. You are responsible for keeping your Bambu Lab Account data accurate, confidential, and secure and avoiding leakage of your account and password information. We are not liable for any losses caused by unauthorized use of your Bambu Lab Account or incorrect information you enter.
4.4 Signing up for the contest
When you sign up for the contest, we may need you to provide additional personal information for the contest for the purposes of entry assessment and prize awarding. To ensure your rights and interests in connection with the contest, please ensure that the information you submit is accurate. We will not be liable for consequences caused by your information being inaccurate.
If you agree to display your works to all regions across the world, your user nickname and profile picture will be displayed with your works, and will be visible to other users.
5. Terms of Use
Your use of the Services and content, preparation of submissions, and submissions must comply with the terms specified in this section (the "terms of use"). We will monitor your use of the Services to ensure that you comply with these terms of use.
5.1 You may use the Services and content on this Website only for non-commercial purposes.
5.2 You are responsible for keeping secure any content you have downloaded and preventing it from use by any third parties not authorized by Bambu Lab.
5.3 By accessing and using the Services, and preparing the submissions, you undertake and agree to do so in a legal manner and in accordance with this Agreement. You hereby acknowledge and agree that you shall not use the Services to transmit material, or otherwise engage in any activity that is dishonest, defamatory, tortious, harmful, obscene, offensive, bullying, harassing, scandalous, hateful, inflammatory, threatening, unlawful, profane, pornographic, invasive of privacy, or otherwise objectionable in relation to your use of the Services including without limitation, anything that facilitates illegal activities, depicts sexually explicit images, promotes violence, is discriminatory, illegal, could or does cause damage or injury to any person or property, or could give rise to any civil or criminal liability under applicable laws, including, without limitation, any material that you are not entitled to post or transmit, or where such posting or transmission is in breach of any duty of confidentiality and/or infringes upon third-party intellectual property rights.
5.4 You shall comply with the requirements of all applicable laws and regulations, respect and protect applicable national interests, legitimate rights and interests of citizens, social public order, morality and authenticity of information. You hereby agree and undertake:
（a）Not to reproduce, make alterations to, or modifications of, the whole or any part of the Services, or permit the Services or any part of them to be combined with, or become incorporated in, any other programs;
（b）Not to gain or attempt to gain unauthorized access to or impair any aspect of the Services or their related systems or networks;
（c）Not to disassemble, decompile, reverse-engineer, or create derivative works based on the whole or any part of the Services, or attempt to do any such thing except to the extent that such actions cannot be prohibited by applicable laws;
（d）Not to distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Services;
（e）Not to provide or otherwise make available the Services in whole or in part (including the object and source code), in any form to any person without our prior written consent;
（f）Not to impersonate any person or falsely state or otherwise misrepresent your affiliation with a person or entity;
（g）Not to use the Services (or any part(s) thereof) in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with this Agreement, or act fraudulently or maliciously, including without limitation, by hacking into or inserting malicious code, including viruses, or harmful data, into the Services (or into the websites linked to the Services) or any operating system;
（h）Not to infringe upon our intellectual property rights or those of any third party in relation to your access to and/or use of the Services, and/or preparation of the submissions;
（i）Not to collect users' information, or otherwise access the Services or our systems, using automated means or attempt to decipher any transmissions to or from the servers running the Services;
（j）Not to develop, support, or use software, devices, scripts, or any other means or processes (including crawlers, browser plug-ins and add-ons, or any other technology or manual work) to scrape information from the Services or otherwise copy profiles and other data from the Services;
（k）Not to commercially exploit the Services without our prior written consent;
（l）Not to use the Services to engage in any illegal business transactions, such as selling firearms, drugs, illegal substances, pirated software or other prohibited items;
（m）Not to provide gambling information or encourage others to gamble through any means;
（n）Not to solicit login information or access an account belonging to someone else;
（o）Not to engage in or encourage others to engage in money laundering, illegal cash advances, pyramid selling schemes, or any violations of this Agreement (or any part(s) thereof);
（p）Not to use the Services in any manner which could damage, disable, overburden, impair or compromise the Services, our systems, or security, or interfere with other users or any other party's computer systems or hack or gain unauthorized access to the Services or Program content or data;
（q）Not to remove any copyright, trademark, or other proprietary notices from any portion of the Services;
（r）Not to use Bambu Lab products and Services for any illegal or improper purposes;
（s）Not to use Bambu Lab products and Services for horrors, violence, bloods, high risk, and endangering the physical and mental health of the performer or others, including;
（t）Not to spread commercial advertisements, or similar commercial solicitation information, excessive marketing information and spam information.
6. Privacy
You agree and acknowledge that you shall provide authentic and accurate personal information, including your name, contact number, email address, and correspondence address, for the purposes of contact and award distribution. Bambu Lab shall collect and process your personal information solely for the aforementioned purposes and to the extent permitted by applicable laws. Before uploading submissions, you shall check whether your submissions containing unwanted or unexpected personal information. By uploading the submissions, you agree to authorize Bambu Lab to use, with or without modification, your submissions for campaigns and product and brand marketing and advertising. For more information about how Bambu Lab processes and protects your personal data, please refer to the privacy policy. You shall guarantee that the personal information provided by you is complete and accurate. Bambu Lab shall contact you to verify your registration information after the announcement of the award. If an award cannot be distributed to you due to incomplete personal information, it shall be deemed that you have waived the right to claim the award, and no award shall be distributed to you.
7. Intellectual Property and Other Rights
7.1 You represent and warrant that all contents you submit to Bambu Lab through the Website are all your original works or legally licensed (and sub-licensed) by their original right owners, and not copied or stolen from others. The intellectual property rights of the contents shall belong to you or their original owners. The work you submit must not infringe any rights of third parties, including intellectual property rights, rights of publicity or privacy, any duties of confidentiality, reputation rights and personality rights, etc. Bambu Lab reserves the right to remove you from the contest, require you to return all prizes and proceeds received from Bambu Lab based on your submission, and compensate for all losses caused to Bambu Lab.
7.2 This Agreement also governs Bambu Lab's use of the name, nickname, portraits, rights of publicity, voice, live or recorded performance, autograph, photographs and biographical information of you or any third parties as included in your contents or works. You represent and warrant that you have obtained the appropriate licenses, permissions, and/or releases from all people that recognizably appear in your contents, including the real names (if any), nicknames, portraits , voices, live or recorded performances, autographs, photographs and biographical information of such third-party individuals, and the owner of any music, images, video, audio, photos, text, or other material embedded within the contents or works. Your performance of this Agreement, will not violate or conflict with any of your obligations to third parties; your submission of content or the act of submitting content itself will not violate the legal rights of any third party; and you will comply with all applicable laws, regulations and provisions applicable to this Agreement.
7.3 You agree to authorize Bambu Lab to use, with or without modification, your submissions for campaigns and product and brand marketing and advertising for permanent, for free, and for both commercial and noncommercial purposes including but not limited to global social media, print media, printing, photography exhibitions, retail stores, road shows, out-of-home advertising, and other online and offline marketing activities. In light of the preceding information, Bambu Lab shall not issue further notice to inform you or seek your approval when using your submissions. Bambu Lab also reserves the right to sublicense the foregoing rights to its affiliates as well as strategic partners without further notice to inform you or seek your approval.
7.4 If your Contents contain photographs or digital or video images that depict a child that is under the age of majority in their state of residence, you represent that You have written permission from the minor’s parent or guardian to provide the photo, digital, or video image for commercial use.
8. Bambu Lab Content
Bambu Lab and/or its licensors, retain all rights, title and interest in and to the information, in any form, including but not limited to text, video and audio, images, icons, apps, designs, software, scripts, programs, copyrights, trademarks, trade names, logos, and other materials and services available on or through the Services, including their look (collectively, "Bambu Lab Content"). Your access to and/or use of any of the Services does not transfer to you or any other person any ownership or other rights in or to the Services, or their content, unless otherwise specified in this Agreement.
You may not make alterations, copies, extractions, modifications or additions to Bambu Lab Content, or sell, copy, disseminate, license, or misuse Bambu Lab Content in any way. If you want to re-publish, extract, reproduce, disseminate, or otherwise use any of Bambu Lab Content, you must contact Bambu Lab in advance and obtain Bambu Lab's prior written consent unless otherwise expressly provided in this Agreement. This is without prejudice to any rights you may have under applicable mandatory laws.
If you believe that the Services or any part thereof infringes upon any copyright, trademark, patent, trade secret or other intellectual property right, or if you have other concerns regarding the Services, please notify us using the contact information provided in the Contacting Us section.
9. Monitoring the Services
You acknowledge and agree that, in accordance with applicable laws and regulations, we may at any time, at our sole discretion and without notice to you, take such measures as we decide are necessary for the purposes of operating and improving the Services (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes), ensuring your compliance with this Agreement, applicable laws, or orders or requirements of any court or other governmental body.
10. Disclaimers
10.1 The Services are for your sole use only and must not be used by any third party. You agree that Bambu Lab and its affiliates, officers, directors, employees, contractors, agents, third-party payment providers, partners, licensors, and distributors (collectively "Bambu Lab Parties") are not liable for any losses caused by any unauthorized use of the Services.
To the maximum extent permitted by applicable laws, the Bambu Lab Parties are not liable to you or to anyone else for any damages if you or anyone else are unable to access or use the Services due to:
（a）Any suspension or termination of the Services by Bambu Lab to enable maintenance work or updates to systems, software or hardware to be carried out;
（b）Any delay or failure of a system or communication network that is owned or controlled by someone other than Bambu Lab;
（c）Any suspension, cancellation, or termination of any contract or other arrangements between Bambu Lab and any of its third-party payment service providers;
（d）Any errors or interruptions due to hacking attempts or similar security breaches; or
（e）Any other event or occurrence beyond Bambu Lab's reasonable control.
10.2 While Bambu Lab will use reasonable efforts to include accurate and up-to-date information on the Website, Bambu Lab makes no guarantees about the accuracy, correctness, reliability, or otherwise with respect to such information, and assumes no liability or responsibility for any omissions or errors (including but not limited to typographical errors and technical errors) in the content. The Services are provided on an "as-is" and "as-available" basis without any representation or endorsement of any kind. To the maximum extent permitted by applicable laws, Bambu Lab disclaims all warranties, conditions, or other terms of any kind, express or implied, and makes no guarantee, undertaking, representation, or warranty for the Service.
The Bambu Lab Parties are not liable for any loss or damages caused by your (or any other person's) access and/or use of the information obtained through the Services.
The laws of some countries do not allow certain warranties, guarantees, or liabilities to be excluded or limited by a contract. If these laws apply to you, some or all of the above exclusions or limitations may not apply to you. Nothing in this Agreement affects the rights that you are legally entitled to as a consumer.
10.3 To the maximum extent permitted by applicable laws, your participation in the Program is at your own risk. Bambu Lab's maximum and entire liability to you and your sole remedy for any and all damages, claims, proceedings, liabilities, obligations, losses, damages, costs, and/or property damage arising out of your participation in this Program under this Agreement is based on actual damages suffered by you. In addition, whether based on contract, tort (including negligence), or any other theory, your indemnification shall not exceed the proceeds received by Bambu Lab pursuant to this Agreement. You fully understand and agree that Bambu Lab shall not be liable for any loss or damage to internal materials, loss of profits, loss of business or goodwill, business interruption, and/or any indirect, incidental, special, consequential, or punitive damages (even if Bambu Lab has been advised of the possibility of such damages).
11. Termination
11.1 Termination or Suspension by Bambu Lab
Subject to applicable laws, we may temporarily or permanently restrict or cancel your access to parts or all of the Services at any time, without assuming liability for any individual or third party.
We will endeavor to provide notice to you before we do this. However, we may not provide prior notice to you, and may immediately, permanently or temporarily restrict or cancel your access to parts or all of the Services:
（a）If you violate this Agreement;
（b）If you, or anyone acting on your behalf, acts fraudulently or illegally, or provides Bambu Lab with any false or misleading information;
（c）In response to requests by law enforcement or other government agencies under valid legal process;
（d）In case of urgent maintenance work or urgent updates to systems or hardware;
We may disqualify your submissions, cancel your access, revoke and retrieve all rewards, and/or suspend parts or all services of your account depending on the severity of the violation.
The termination of this Agreement or Services does not affect the provisions of this Agreement that are expressed to have effect after the expiry or termination thereof, including but not limited to Article 5,6 and 10, or any rights or obligations which are intended to survive such expiry or termination.
12. Changes to this Agreement
Bambu Lab is constantly updating, changing, and improving the Services. Bambu Lab may add or remove functions or features, create new limits to the Services, or temporarily or permanently suspend or stop the Services. Bambu Lab may also modify this Agreement at any time based on updates to the Services.
We will inform you within a reasonable time period of any changes to the Services or this Agreement that will materially disadvantage users or materially limit their access to or use of the Services. For changes to the Services that we need to make to meet security, safety, legal, or regulatory requirements, we may not be able to meet the aforementioned timescales and we will update you about these changes as soon as is practicable.
13. Governing Laws and Jurisdiction
The formation, interpretation, and operation of this Agreement are governed by and construed in accordance with the laws of the People's Republic of China. You and Bambu Lab agree that this Agreement is signed in Shenzhen, Guangdong Province, the People's Republic of China. Any dispute arising from the performance of the contracts between the two parties shall be settled through negotiation. If the negotiation fails, any dispute, controversy, difference or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.The law of this arbitration clause shall be Hong Kong law. The seat of arbitration shall be Hong Kong.The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
14. General Terms
The Services or third parties may provide links to other websites or resources. You acknowledge and agree that we are not responsible for the availability of such external websites or resources, and do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from such websites or resources. We are not responsible or liable for any damages or losses caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any such websites or resources.
Nothing in this Agreement shall be construed to create a partnership or agency relationship between you and Bambu Lab, and neither party shall have the right or authority to incur any liability, or enter into any contracts or other arrangements in the name of or on behalf of the other.
Bambu Lab is not liable for any failure or delay in the performance of its obligations under this Agreement or the provision of the Services that is caused by or attributed to matters beyond Bambu Lab's reasonable control.
Bambu Lab may assign, sub-contract, or novate any of our rights and/or obligations under this Agreement.
If any provision (or part of a provision) of this Agreement is found by a court of competent jurisdiction or any other competent authorities to be void, invalid, or unenforceable, it shall be deemed to be deleted from this Agreement and all other provisions of this Agreement shall remain in full force and legally effective.
